About Nicole Kadomiya

I represent for-profit and nonprofit developers and owners as they acquire, develop, and preserve affordable housing. As special HUD counsel, I obtain the required federal regulatory approvals for our clients’ transactions and help clients develop the strategy and transaction structure that will best help them achieve their goals. My practice includes the following transaction types and multifamily affordable housing programs:

  • Section 8 renewals and modifications
  • Transfers of physical assets (TPAs)
  • Moving Section 8 HAP contracts
  • HUD 202 and 236 loan programs
  • New FHA-insured loans

Prior to joining HAO, I worked in Boston, Massachusetts, as a commercial real estate attorney at both Dionne & Gass LLP and Nixon Peabody LLP.

Representative Matters

  • Represented a client in a portfolio acquisition of 7 elderly properties located in Toledo, Ohio that involved obtaining HUD approvals for HAP assignments and HAP renewals, including exception rents; assignment of MTM use agreements, a 236(e)(2) use agreement, and a 202 use agreement; and assumption of a 202 Capital Advance Loan and PRAC contract.
  • Represented a client in obtaining HUD approvals for an 8bb Moving Section 8 transaction in Sacramento, California, to allow the transfer of Section 8 subsidy to an existing low-income housing tax credit building in connection with the transferring project owner’s decision to opt out of the Section 8 program.
  • Represented a client in obtaining HUD approvals for the acquisition and substantial rehabilitation of a Section 202 elderly project in Texas, including deferral of Flexible Subsidy Loans and obtaining Tenant Protection Vouchers following maturity of the 202 loan, as well as approvals for a HAP assignment, renewal of the HAP contract with a post-rehabilitation rent increase, and pass-through leases in connection with 4% low-income housing tax credit financing.
  • Represented a client in a portfolio acquisition of 6 family and elderly properties located in and around Chicago, Illinois, which involved obtaining HUD approvals for HAP assignments, HAP renewals with post-rehabilitation rent increases, a HAP renewal with exception rents, and the transfer of Section 8 subsidy through the 8bb Moving Section 8 program.
  • Represented numerous borrowers and lenders throughout the country in the negotiation and closing of new FHA-insured loans.
